6. Intellectual Property Rights

Unless otherwise specified in a service agreement:

• Client Content: You retain ownership of all content, data, and materials you provide to us
• Our Work Product: We retain ownership of our methodologies, tools, and pre-existing intellectual property
• Deliverables: Upon full payment, you will receive appropriate rights to use the deliverables as specified in the service agreement
• Open Source: Some deliverables may incorporate open-source software subject to applicable licenses

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of our business relationship. This includes:

• Technical information and trade secrets
• Business strategies and plans
• Customer and client information
• Financial information
• Any other information marked as confidential

This obligation survives the termination of our business relationship.

8. Limitation of Liability

To the maximum extent permitted by law:

• SUJAL ENTERPRISES shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the total amount paid by you for the specific services giving rise to the claim
• We are not responsible for any loss of data, profits, or business opportunities
• We do not guarantee uninterrupted or error-free service

9. Indemnification

You agree to indemnify and hold harmless SUJAL ENTERPRISES from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide to us

10. Service Level Commitments

We strive to provide high-quality services and will:

• Use commercially reasonable efforts to meet agreed timelines
• Provide regular updates on project progress
• Address issues and concerns promptly
• Maintain professional standards in all communications

11. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• All outstanding payments become immediately due
• We will provide you with all deliverables completed up to the termination date
• Confidentiality obligations continue to apply
• Each party will return or destroy the other's confidential information

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:

• Natural disasters
• Government actions
• Internet or telecommunications failures
• Pandemics or public health emergencies
• Other acts of God

13. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through:

• Negotiation: Good faith discussions to resolve the dispute amicably
• Mediation: If negotiation fails, mediation through a mutually agreed mediator
• Arbitration: If mediation fails, binding arbitration under Indian Arbitration and Conciliation Act
• Jurisdiction: All legal proceedings will be conducted in Rajasthan, India

14. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

15. Modifications to Terms
